Controlling Law, Jurisdiction & Venue

These Terms will be governed by the laws of the state of Florida without giving effect to its conflict of laws provisions. The exclusive court jurisdiction for any claim, action, or dispute between the Parties or relating in any way to this Agreement for any injunctive remedy a Party may seek after good faith efforts to resolve such issue shall be subject to the state or federal courts of the State of Florida, specifically the Southern District of Florida or the 15th Judicial Circuit in and for Miami-Dade County, Florida. Each Party shall be responsible for their attorneys’ fees and costs provided that in any action, suit, or proceeding, the non-prevailing Party shall be obligated to pay the reasonable legal fees and costs of the prevailing Party.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with a revised effective date.
